CloneArchTM Clone Storage and Management Center Terms of Use
Welcome to CloneArchTM! By using CloneArchTM, you agree to the following terms and conditions, and any amendments that may be introduced in the future.
USE OF SERVICES
GenScript USA Inc. offers CloneArchTM services to you, provided that you are not barred from receiving services under the laws of the United States or other applicable jurisdictions. In order to access CloneArchTM services, you may be required to provide current, accurate contact and payment information, and keep your account payments up to date. You are responsible for not disclosing your password, and are responsible for all activities that occur under your account. You agree to immediately notify GenScript of any unauthorized use of your CloneArchTM account. GenScript will not be liable for any loss or damage arising from your failure to comply with these rules.
APPROPRIATE CONDUCT
You agree that all content uploaded to CloneArchTM website is the sole responsibility of the person who created such content. GenScript is not liable for offensive, indecent or objectionable content added by users to the CloneArchTM database, or for content added in violation of the user’s institution’s policies and copyrights. You agree to use CloneArchTM services only for purposes that are legal and in accordance with all applicable policies or guidelines. You agree that you will not engage in any activity that interferes with or disrupts CloneArchTM services and will report any activity that may violate CloneArchTM rules. You agree to comply with your institution's policies and applicable copyright and intellectual property laws. Users outside of the United States agree to comply with their own local laws, including laws regulating the export of data. You also understand and agree that GenScript may suspend or terminate your CloneArchTM account access if you do not comply with CloneArchTM rules.
PRIVACY POLICY
By using CloneArchTM services, you acknowledge and agree that GenScript may access, preserve, and disclose content stored in your account if required to do so by law. GenScript agrees not to disclose any information or to share any materials deposited by you with any third parties, unless directly authorized by you or your legal representatives.
PROPRIETARY RIGHTS
Subject to CloneArchTM rules, GenScript grants you a right and license to use the CloneArchTM storage facilities, database and associated software tools provided that you comply with CloneArchTM rules. GenScript claims no ownership or control over any information or materials deposited by users in the CloneArchTM database, or any intellectual property generated through the use of this database and other GenScript’s products and services. You retain all patent, trademark and copyright rights to any information or materials you submit to CloneArchTM services and you are responsible for protecting those rights, as appropriate. You certify that the information and materials deposited by you in CloneArchTM present no known danger to humans or animals. If the information and materials which you are depositing in CloneArchTM database is intended to be available to the public, you grant GenScript a worldwide, non-exclusive, royalty-free license to reproduce, adapt, modify, publish and distribute such information. GenScript reserves the right to refuse to accept, post, display or transmit any information in its sole discretion.
You represent and warrant that you have all the rights, power and authority necessary to grant the rights described above to any information or materials submitted.
GENERAL PRACTICES REGARDING USE AND STORAGE
You may discontinue your use of CloneArchTM services at any time. Upon the termination of your use of CloneArchTM services, including upon receipt of a certificate or other legal document confirming your death or dissolution of your institution, GenScript will keep information and materials in your account for the period of 6 months to provide an opportunity for you or your legal heirs or your institution’s legal successors to transfer the information and materials into a new account under their name or to retrieve them for their private use. Such transfer will occur after the account balance is paid by you, your heirs or successors. If the information and materials in your account are not claimed in the 6 month period, they will be destroyed by GenScript.
You agree that GenScript may at any time and for any reason, including an extended period of non-payment, terminate your access to your CloneArchTM account and deposited materials. GenScript reserves the right at any time to modify or discontinue, temporarily or permanently, CloneArchTM services (or any part thereof) with sufficient notice. In case of discontinuation, GenScript agrees to keep the information and materials deposited by you for 3 months free of charge to give you sufficient time to make arrangements for the information and materials retrieval. After this period the information and materials will be destroyed. The information and materials will be shipped at expense of the authorized persons requesting the shipment. You agree that GenScript has no responsibility or liability for the deletion or failure to store any information of materials submitted by you to CloneArchTM. You agree that GenScript shall not be liable to you or to any third party for any modification, suspension or discontinuance of CloneArchTM services.
INDEMNITY
You agree to hold harmless and indemnify GenScript, and its subsidiaries, affiliates, officers, agents, employees, licensors, suppliers or partners, from and against any third party claim arising from or in any way related to your use of CloneArchTM services, violation of the CloneArchTM rules or any other actions, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature. In such a case, GenScript will provide you with written notice of such claim, suit or action.
