Terms and Conditions of Use

Notwithstanding Section 8.1 of the Standard Service Agreement, you agree that GenScript retains ownership of the GenScript Proprietary Vectors , including but not limited to the pGS and the GS-mk/GS-CMV vector series (the "Plasmids") which will be used in the services as set forth in the "Description" above, and the Plasmids are covered by certain patent right or patent application. GenScript hereby grants to you a limited, non-transferable right to use the quantity of the Deliverables that generated by using of the Plasmids and you ordered from us for your internal research purposes only. No right to resell the Deliverables or any of their components is conveyed expressly, by implication, or by estoppel. No right to replace protein-encoding sequences within the Plasmids or the cloned gene for any purpose, or to reverse-engineer of the Deliverables or Plasmids or create any derivatives by using of any Plasmids. Unless otherwise expressly agreed in writing by our authorized representative, we provide no rights to use the Deliverables in commercial applications of any kind, including, without limitation, manufacturing, quality control or commercial services such as reporting the results of your activities for a fee or other form of consideration. It is solely your responsibility to determine whether you may be required to obtain any additional or third-party intellectual property rights depending upon the particular application in which you use the Deliverables. Except as otherwise agreed in writing by our authorized representative, all the Deliverables are for RESEARCH USE ONLY, AND NOT FOR HUMAN OR ANIMAL THERAPEUTIC OR DIAGNOSTIC USE. You are solely responsible for making sure that the way you use the Deliverables complies with applicable laws, regulations and governmental policies and for obtaining all necessary approvals, intellectual property rights, licenses and permissions that you may need related to your use.
